1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fountech Innovation Ltd ("Fountech", "we", "us", or "our") governing your access to and use of TACTIC, including our website at dtactic.com, mobile applications, and related services (collectively, the "Service").

By creating an account or using TACTIC, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

TACTIC is an AI-powered platform that provides assessments of deep technology ventures. The Service:

• Analyzes venture submissions using artificial intelligence
• Generates assessment reports with scores across multiple dimensions
• Provides recommendations based on our proprietary methodology
• Enables users to share assessment results with stakeholders

3. Account Registration

To use TACTIC, you must:

• Be at least 18 years of age
• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Credits and Payments

4.1 Credit System

TACTIC operates on a credit-based system. One credit equals one venture assessment. Credits are:

• Non-refundable once used for an assessment
• Non-transferable between accounts
• Valid indefinitely unless your account is terminated

4.2 Payments

All payments are processed securely through Stripe. By making a purchase, you:

• Authorize us to charge your payment method
• Agree to pay all applicable fees and taxes
• Represent that you have the legal right to use the payment method

4.3 Refunds

Credit purchases are generally non-refundable. We may, at our sole discretion, offer refunds in cases of technical failure or service unavailability that prevents assessment completion.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Submit false, misleading, or fraudulent venture information
• Attempt to reverse engineer, decompile, or extract our AI models or methodology
• Interfere with or disrupt the Service or its infrastructure
• Circumvent usage limits, rate limits, or security measures
• Use automated systems to access the Service without permission
• Infringe the intellectual property rights of others
• Share your account credentials with third parties
• Resell or redistribute assessments without authorization

6. Intellectual Property

6.1 Our Property

TACTIC, including its methodology, AI models, software, branding, and content, is owned by Fountech Innovation Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of the venture information you submit. By submitting content, you grant us a limited license to process, analyze, and store it for the purpose of providing the Service. We do not claim ownership of your submissions and will not use them for purposes other than providing assessments to you.

7. Assessment Disclaimers

• Assessments are generated by AI and may contain errors or inaccuracies
• Scores are based on information provided and our methodology; they are not guarantees of venture success
• You should conduct your own due diligence before making investment decisions
• We are not liable for any investment decisions made based on our assessments
• Past performance indicators do not guarantee future results

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM

9. Indemnification

You agree to indemnify and hold harmless Fountech, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to TACTIC at any time, with or without cause, with or without notice. You may also terminate your account at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 11, and 12 survive termination.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, except where prohibited by local law.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance. If you disagree with modified Terms, you must stop using the Service.
